Contents of the report

The board of management of Barlinek S.A., based in Kielce, hereby declares that on July 4th 2008, acting in accordance with article 385 §1 of the Commercial Companies Code and § 19 article 1 of the Company’s statute, the Extraordinary General Meeting of Shareholders of Barlinek SA, based in Kielce, appointed the following to the Supervisory Board for the new term of office:

1. Mariusz Gromek

2. Krzysztof Kwapisz

3. Mariusz Waniołka

4. Grzegorz Miroński

5. Robert Oskard

The CVs of the appointed members of the Supervisory Board:

Mariusz Gromek, aged 51

Mr Mariusz Gromek studied at SGPiS (at present the Warsaw School of Economics) at the Faculty of Foreign Trade. In years 1990-1991 he worked for EXBUD-2 Sp. z o.o. as, inter alia, the Representative of the Management Board of EXBUD S.A. responsible for the Restructuring Program; afterwards, in 1992 he worked for TERIKO Sp. z o.o. in Kielce as a shareholder and Sales Director. In years 1992-1993 he conducted business activity on his own account. In years 1993-1994 he worked for MITEX-TRADE Sp. z o.o. at the position of Wholesale Director and afterwards Sales Director. In 1994 he started working for P.L.I. S.A. at the position of Director responsible for supermarket networks and afterwards at the position of Sales Director. From 1995 he held the position of Vice-President of the Management Board and in years 1997-1999 the position of President of the Management Board of P.L.I. S.A. Company (later name of the company: NOMI S.A.) In years 2000-2002 he held the position of President of the Management Board of Cersanit S.A. He was a member of the Supervisory Board of Cersanit SA in years 2003-2006. He has been the Member of the Supervisory Board of Barlinek SA since 2003. Since 2004 he has been the Chairman of the Supervisory Board of the Company.

Mr Mariusz Gromek does not conduct activity competitive with regard to the Issuer; he is not a partner in a competitive general partnership or a competitive partnership; he is not a member in a governing body of a competitive joint stock company as well as he is not a member in a governing body of any other competitive legal entity. Mr Mariusz Gromek has not been entered in the Register of Insolvent Debtors kept on the basis of the Act on the National Court Registry.

Krzysztof Kwapisz, aged 50

Mr Krzysztof Kwapisz graduate of the Mechanics Department of the Swietokrzyska Technical University in Kielce. In 1987 took up employment at the Multi-Branch Company in Kielce as deputy technical director. From 1990 he worked in the Sigma Multi-Branch Company, initially as Vice President, later President. Since 1993 he has worked in Echo Investment S.A. in Kielce - originally as Development Director, and from January 1st 1995 to 1998 he held the post of Finance Director, then Managing Director until 2004. He is currently the company's commercial proxy. He simultaneously worked in the Mitex Construction Company as Development Director in 1994-1998. In previous years a member of the Supervisory boards of: Cersanit S.A based in Kielce, Barlinek S.A. based in Barlinek and Ultra Pack S.A. based in Kliniski. Since 2006 Chairman of the Supervisory Board of Magellan Pro-Equity Fund I S.A. He has been the Member of the Supervisory Board of Barlinek SA based in Kielce since 2009, from September 2010 - Vice-Chairman of the Supervisory Board.

According to the declaration made by Mr Krzysztof Kwapisz, Mr Krzysztof Kwapisz does not engage in activities which constitute competition for the Issuer, is not a partner in a competitive company of any form, does not sit on the board of a competitive joint stock company and is not a member of a body of any other competing legal entity. Mr Krzysztof Kwapisz is not listed in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act.

Mariusz Waniołka, aged 44

Mr Mariusz Waniołka has a diploma of higher education. He is a graduate of the Cracow Academy of Economics. From September 1992 to May 1994 he worked for Sando Sp. z o.o. j.v. Within the period from May 1994 to August 1994 he was employed in Pilkington Sandoglass Sp. z o.o. In years 1994-1996 he worked for PepsiCo Trading Sp. z o.o. with its registered seat in Warszawa, recently at the position of Financial Director. From November 1996 to June 2001 he worked at the position of Financial Director of NOMI S.A. in Kielce, from December 1997 he held the position of the Vice-President of the Management Board of NOMI S.A. On 2005, he was seconded for the period of 3 months to perform duties of the Member of the Management Board of Synthos S.A. however on 2007, he was seconded for the period of 3 months to perform duties of the Member of the Management Board of Echo Investment S.A. At present he holds the position of Administrative Director at Magellan Pro- Service sp. z o.o. with its registered seat in Kielce and also serves as the Member of the Supervisory Boards of the following companies: Cersanit S.A., Synthos S.A., Megastore.pl S.A., North Food Polska S.A. and Echo Investment S.A. He has been the Member of the Supervisory Board of Barlinek S.A. since 2004.

Mr Mariusz Waniołka does not conduct activity competitive with regard to the Issuer; he is not a partner in a competitive general partnership or a competitive partnership; he is not a member in a governing body of a competitive joint stock company as well as he is not a member in a governing body of any other competitive legal entity. Mr Mariusz Waniołka has not been entered in the Register of Insolvent Debtors kept on the basis of the Act on the National Court Registry.

Grzegorz Miroński, aged 43

Mr Grzegorz Miroński is a lawyer (solicitor). In 1992 he completed higher education studies at the Faculty of Law and Administration of the Jagiellonian University; he majored in law. Since 1997 he has been providing legal services for numerous economic entities including several companies quoted on the Warsaw Stock Exchange. In 1997 he started permanent cooperation with Echo Investment S.A.; he provided legal advice in connection with the biggest investments of this company. Additionally, Mr Grzegorz Miroński cooperated with, among others, the following companies: Cersanit S.A. and Media Projekt Sp. z o.o., in the scope of numerous investment and financial projects of these companies. Mr Grzegorz Miroński serves as the Member of the Supervisory Boards of the following companies: Cersanit S.A. (Deputy Chairman of the Supervisory Board), Synthos S.A., North Food S.A. and Megastore.pl S.A. Mr Grzegorz Miroński runs the law office with its registered seat in Kielce. He has been the Member of the Supervisory Board of Barlinek SA since 2006.

Robert Oskard, aged 48,

Mr Robert Oskard graduate of the Department of Technical Physics and Applied Mathematics of Warsaw Technical University.Between 1987 - 1990 employed at the Iskra Ball Bearings Factory, involved in designing and programming IT systems, and from 1990 - 1992 at the Provincial Offices in Kielce as the Provincial Information Scientist. Between 1992 - 2000 he worked in Exbud SA, among others as the Director of the Planning and Economic Analysis Office, Director of Development Office and Director of the Management Systems Office. From 2000-2002 he held the post of Director of Strategic Projects in Echo Investment S.A. Then Managing Director of Columbus Pro-Equity Fund II Sp. z o.o. and presently Managing Director of Columbus Pro-Equity Fund II Sp. z o.o. and Magellan Pro-Equity Fund I S.A. In previous years he has held the position of chairman or member of over a dozen other supervisory boards, including those of public companies. He has been the Member of the Supervisory Board of Barlinek SA since 2009. In addition to the above, he is also involved in the following: - employed by Columbus Prime Sp. z o.o. as Managing Director, - acts as an authorised agent in Rainbow Sp. z o.o. - member of Supervisory Boards: Synthos S.A., Cersanit S.A., Echo Investment S.A., Synthos Kralupy a.s., Megastore.pl S.A.

Mr Robert Oskard does not conduct activity competitive with regard to the Issuer; he is not a partner in a competitive general partnership or a competitive partnership; he is not a member in a governing body of a competitive joint stock company as well as he is not a member in a governing body of any other competitive legal entity. Mr Robert Oskard has not been entered in the Register of Insolvent Debtors kept on the basis of the Act on the National Court Registry.

Legal basis:

Paragraph 5 section 1 item 22 of the Ordinance of the Ministry of Finance regarding current and periodic information to be submitted by issuers of securities and the conditions for recognition as equivalent of the information whose disclosure is required under the laws of a state which is not an EU member state of 19th February 2009 (Journal of Laws No 33, item 259).
