Contents of the report:

The Management of Barlinek SA based in Kielce hereby announces that on February 25th 2010 it received information about the registration on 09.02.2010 by the State Register of the City of Vinnitsa (Ukraine) of an increase in the share capital of Barlinek Invest Spółka z o.o. with registered headquarters in Vinnitsa (Ukraine) (a subsidiary of Barlinek S.A.). The share capital of Barlinek Invest Spółka z o.o. was increased from 79,333,391.52 UAH (which was equivalent, according to the NBP's average rate on the day of the event, to 29,202,621.42 zł (1 UAH = 0.3681 zł)) to a total of 210,805,270.52 UAH (which was equivalent, according to the NBP's average rate on the day of the event, to 77,597,420.08 zł ), i.e. by a sum of 131,471,879 UAH, which was equivalent, according to the NBP's average rate on the day of the event, to 48,394,798.66 zł.

The newly created share was taken over by Barlinek S.A. After registration of the increase in share capital, Barlinek S.A. owns 62.3665 % of the share capital of Barlinek Invest Sp. z o.o., which entitles it to 62.3665 % of the votes at the partners' meeting of Barlinek Invest Sp. z o.o. The share taken over is of a long-term investment nature, and has been covered by money from Barlinek S.A.'s own assets.

The share taken over is considered an asset of significant value, as its value exceeds 10 % of Barlinek S.A.'s capital.
